Note: The French version of these Terms of Use is the binding legal version. This English translation is provided for informational purposes only.
Article 1 — Definitions and acceptance
"Adjulo" means the service operated by Joey Scavone, sole trader established in Québec City (Québec), Canada. "Subscriber" means any natural or legal person who has created an account. "Service" means the Adjulo REST API, webhooks, data and any interface accessible via adjulo.ca and adjulo.io. Use of the Service constitutes full acceptance of these terms.
Article 2 — API key and usage restrictions
2.1 Upon account creation, Adjulo issues a unique API key associated with the subscriber and their plan.
2.2 — API key uniqueness: An API key is tied to a single subscriber and a single legal entity. Its use in an application deployed to third parties, or shared between entities, constitutes a violation resulting in immediate revocation without refund.
Strictly prohibited: sharing between distinct legal entities; integrating the key into an application sold to third parties; using it as a shared proxy; bypassing rate limits; storing the key unencrypted client-side.
2.3 The subscriber is responsible for all use made with their key. Any compromise must be reported to info@adjulo.ca.
Article 3 — Subscription plans
Adjulo offers several plans (Free, Starter, Pro, Enterprise). The trial period is 21 days, no credit card required. Upon expiry, the account switches to the Free plan. Rate limits are applied per plan; no automatic overcharging is applied.
Article 4 — SEAO data and licence
Data is sourced from the SEAO (Québec government) via donneesquebec.ca, under Creative Commons CC BY 4.0 licence. Subscribers must credit the source (SEAO / open data Québec) upon any redistribution. Adjulo does not guarantee completeness or real-time updates of the data.
Article 5 — Partner and reseller use
Any use aimed at providing or reselling Adjulo data to end clients requires either that each client holds their own active subscription, or a written partnership agreement signed with Adjulo (info@adjulo.ca).
Article 6 — Billing
Billing is handled by Stripe. Subscriptions are charged in Canadian dollars (CAD) at the start of each period. No refunds for partial periods, except as required by law. Disputes must be reported within 30 days.
Article 7 — Taxes (GST/QST)
Prices are exclusive of taxes. GST (5%) and QST (9.975%) apply to subscribers residing in Québec, managed automatically via Stripe Tax.
Article 8 — Personal information (Law 25)
Adjulo collects only the information necessary for the Service (email, first name, company, billing). This information is not sold or transferred. Under Law 25 (Québec), subscribers have rights of access, correction and deletion by contacting info@adjulo.ca. Hosting arrangements are covered in Article 9.
Article 9 — Data sovereignty
All data processed and stored by Adjulo — account data, usage data, logs and SEAO data — is hosted exclusively on servers physically located in the province of Québec, Canada. No transfer outside Canada is made for processing, backup or analysis.
This commitment is foundational: subscriber data must remain under Canadian jurisdiction, subject to Law 25 (Québec) and Law C-27 (Canada). The only exceptions are Stripe (billing) and Resend (transactional emails), subject to their own policies.
Article 10 — Service levels (SLA)
Adjulo targets 99.5% availability per calendar month. No contractual SLA is guaranteed at MVP stage; formal commitments may be negotiated for Enterprise plans. Real-time status at statuts.adjulo.io.
Article 11 — Limitation of liability
The Service is provided "as is" without warranty. Adjulo's liability shall not exceed the amount paid by the subscriber in the last three months. Adjulo is not liable for indirect, consequential or special damages, including loss of revenue or business opportunities.
Article 12 — Monitoring and revocation
Adjulo reserves the right to monitor usage patterns. In case of violation of Articles 2, 3 or 5, the API key may be revoked immediately and without refund. The subscriber will be notified within 48 hours and may contest within 15 days.
Article 13 — Termination by subscriber
The subscriber may terminate at any time via their Stripe portal or by contacting info@adjulo.ca. Termination takes effect at the end of the current period. Data is retained for 30 days then deleted.
Article 14 — Termination by Adjulo
Adjulo may terminate with 30 days' notice without cause, or immediately in case of terms violation, fraudulent activity, non-payment or service cessation. In case of termination without subscriber fault, unused prepaid amounts are refunded pro rata.
Article 15 — Governing law
These terms are governed by the laws of the province of Québec and applicable federal laws of Canada. Any dispute shall be subject to the exclusive jurisdiction of the courts of Québec City (Québec).
Article 16 — General provisions
These terms constitute the entire agreement. Adjulo reserves the right to modify them with 30 days' notice by email. Continued use of the Service after this period constitutes acceptance.
