Article 1 — Definitions and acceptance
"Adjulo" means the service operated by Joey Scavone, sole trader established in Québec City (Québec), Canada.
"Subscriber" means any natural or legal person who has created an account and accepted these terms.
"Service" means the Adjulo REST API, webhooks, data, documentation and any associated interface accessible via adjulo.ca and adjulo.io.
Use of the Service constitutes full acceptance of these terms. If you do not accept these terms, you must not use the Service.
Article 2 — API key and usage restrictions
2.1 Upon account creation, Adjulo issues a unique API key associated with the subscriber and their subscription plan.
Strictly prohibited:
- Sharing the key between distinct legal entities;
- Integrating the key into an application marketed or resold to third parties;
- Using it as a shared proxy or backend exposed to unsubscribed end users;
- Bypassing rate limits through key rotation or other technical means;
- Storing the key client-side (web browser, unencrypted mobile application).
2.3 The subscriber is responsible for all use made with their API key. Any known or suspected compromise must be reported immediately to info@adjulo.ca.
Article 3 — Subscription plans
Adjulo offers several plans (Free, Starter, Pro, Enterprise) whose features, limitations and prices are described on adjulo.ca. Plans may be modified with 30 days' notice.
The free trial period is 21 days from account creation. No credit card is required for the trial. Upon expiry, the account automatically switches to the Free plan.
Rate limits are applied per plan and per API key. Overages are blocked; no automatic overcharging is applied without prior agreement.
Article 4 — SEAO data and licence
Data provided by the Service is sourced from the Système électronique d'appel d'offres (SEAO) of the Québec government, published on donneesquebec.ca under Creative Commons CC BY 4.0 licence.
Subscribers are authorized to use, copy, distribute and adapt this data provided they credit the source (SEAO / Québec open data) in accordance with the CC BY 4.0 licence terms.
Adjulo does not guarantee the completeness, accuracy or real-time update of the data. SEAO data is a third-party source beyond Adjulo's control.
Article 5 — Partner and reseller use
Any use of the Service aimed at providing, integrating or reselling Adjulo data to end clients — directly or through an application — requires either:
- that each end client holds their own active Adjulo subscription; or
- a written partnership / reseller agreement signed with Adjulo.

Article 6 — Billing
Billing for paid plans is handled by Stripe. By subscribing to a paid plan, the subscriber accepts Stripe's terms of use applicable to payments.
Subscriptions are billed monthly or annually according to the subscriber's choice. Payments are collected in Canadian dollars (CAD) at the start of the billing period.
No refund is granted for partial periods, except as required by law. In case of a billing dispute, the subscriber must contact Adjulo within 30 days of the contested charge.
Article 7 — Taxes (GST/QST)
Prices shown are exclusive of taxes. GST (5%) and QST (9.975%) apply to subscribers residing in Québec and are collected in accordance with Canadian and Québec tax laws.
Tax management is automated via Stripe Tax. The subscriber is responsible for tax compliance applicable to their professional use of the data.
Article 8 — Personal information (Law 25)
Adjulo collects only the information strictly necessary for the provision of the Service (email, first name, company name, billing data). This information is not sold or transferred to third parties.
In accordance with Law 25 on the Protection of Personal Information in the Private Sector (Québec), subscribers have rights of access, correction and deletion of their personal data by contacting info@adjulo.ca.
Hosting and data location arrangements are covered in Article 9 below.
Article 9 — Data sovereignty
All data processed and stored by Adjulo — including subscriber account data, API usage data, application logs and SEAO data — is hosted exclusively on servers physically located in the province of Québec, Canada.
Adjulo does not transfer any personal or commercial data to servers located outside Canada, whether for processing, backup or analysis purposes.
This commitment is foundational to Adjulo: as a sovereign Québec public procurement intelligence solution, we consider that subscriber data must remain under Canadian jurisdiction, subject exclusively to Canadian federal and provincial laws — notably Law 25 (Québec) and Law C-27 (Canada).
The only exceptions concern third-party services strictly necessary for the Service: payment processing via Stripe (billing data only) and transactional email delivery via Resend. These providers are subject to their own privacy and data location policies.
Article 10 — Service levels (SLA)
Adjulo targets 99.5% availability per calendar month, excluding planned maintenance windows announced with reasonable notice.
Adjulo makes no contractual SLA commitment at the MVP stage. Formal service level commitments may be negotiated under an Enterprise agreement.

Article 11 — Limitation of liability
The Service is provided "as is" without warranty of any kind, express or implied. Adjulo does not warrant that the Service will be error-free, uninterrupted or suitable for any particular purpose.
In no event shall Adjulo's liability exceed the total amount actually paid by the subscriber during the three (3) months preceding the event giving rise to liability.
Adjulo shall not be liable for indirect, consequential, incidental, special or punitive damages, including without limitation loss of revenue or business opportunities, even if Adjulo has been advised of the possibility of such damages.
Article 12 — Monitoring and revocation
Adjulo reserves the right to monitor Service usage patterns in order to detect abuse, violations of these terms or fraudulent activities.
In case of confirmed violation of Articles 2, 3 or 5, Adjulo may revoke the API key immediately and without notice or refund. The subscriber will be notified of the reason for revocation by email within 48 hours of the action.
The subscriber may contest a revocation by contacting info@adjulo.ca within 15 days of the notification.
Article 13 — Termination by subscriber
The subscriber may terminate their subscription at any time from their Stripe management portal or by contacting info@adjulo.ca. Termination takes effect at the end of the current billing period.
After termination, subscriber data is retained for 30 days then deleted, unless a legal retention obligation applies.
Article 14 — Termination by Adjulo
Adjulo may terminate any subscription with 30 days' notice without cause, or immediately in case of:
- violation of these terms;
- fraudulent, abusive or illegal activity;
- non-payment after reminder;
- cessation of the Service.
In case of termination without fault of the subscriber, Adjulo will refund the unused portion of the prepaid period on a pro-rata basis.
Article 15 — Governing law
These terms are governed by the laws of the province of Québec and applicable federal laws of Canada.
Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Québec City (Québec), subject to mandatory consumer protection rights.
Article 16 — General provisions
Entire agreement: These terms constitute the entire agreement between the subscriber and Adjulo regarding the Service.
Modifications: Adjulo reserves the right to modify these terms. Any material modification will be notified by email with 30 days' notice. Continued use of the Service after this period constitutes acceptance of the new terms.
Severability: If any provision of these terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
